081319 -     The Welch Company is focused on developing and marketing a
081320 -     software product called the "Schedule Diary System."  It applies a
081321 -     technology which evolved from Rod's experience as a contractor,
081322 -     including the Welch v. State matter of interest to UPR.  Rod calls
081323 -     it a "Personal and Organizational Integrated Management System,"
081324 -     or POIMS.  The basic idea is to automate the practice of
081325 -     management by integrating time, information, people and documents
081326 -     into an "operating system" for people and organizations.  Since
081327 -     "managment" is complex, it necessarily took a long time to figure
081328 -     out what to automate and to how to integreate the pieces so they
081329 -     improve management productivity.  Rod reports this step is
081330 -     complete.

081333 -     The prospective market is very large for SDS as an "operating
081334 -     system" for people and organizations, as seen from the success of
081335 -     DOS, Windows and OS2 which are "operating systems" for computers.
081336 -     If Rod is correct in his claim and can develop evidence to
081337 -     substantiate that SDS lifts the capacity to think, remember and
081338 -     communicate, then SDS could gain similar acceptance in the market
081339 -     that operating systems for computers have enjoyed at Microsoft and
081340 -     IBM.  This seems to follow from the general awareness that the
081341 -     foundation of Western civilization is the ability to invest
081342 -     intellectual capital.  We have not worked with SDS and so express
081343 -     no opinion about its viability.  The report from PG&E dated Dec
081344 -     30, 1994, seems to support the viability of the core concept SDS
081345 -     applies of "converting information into knowledge," and that this
081346 -     improves earnings substantially, ref DRP 2 line 21.  Since most
081347 -     firms want to improve earnings, SDS should nominally have wide
081348 -     appeal.

081351 -     We have no experience with firms introducing new technologies,
081352 -     like SDS, and so express no opinion on the prospects of near term
081353 -     success in the market.  Generally, however, the more fundamental
081354 -     the advance, the more dramatic the benefits, the longer it can
081355 -     take to become accepted in the market place because awareness and
081356 -     credibility in something brand new must be created, ref SDS 23
081357 -     line 126.  We understand KHLS has investigated SDS and so may be

450439 - proceedings.  She said it takes a lot of time and hard work to find

450441 - accuracy of legal briefs.  Accuracy is only practical because the
450442 - court requires citations.  This legal requirement forces clients to
450443 - pay the cost of extra time to avoid mistakes.  Anne noted that even
450444 - judges don't use citations outside the courtroom, because people
450445 - believe accuracy on daily work takes too much time.  There is only
