Dear Parties:


Please refer to

our letter
of September 24, 1998.




At the request of Mr. McDonald, we have further revised the parties'
individual shares of the total balance due in this matter. These totals
now reflect the fact that work was done by the arbitrator before Mr.
Foti was brought into this matter as an official party.




Accordingly, the miscellaneous expenses and arbitrator compensation for
the first two preliminary conference calls (January 16th & February 6,
1998) have now been split equally between parties Cahikin and Weinman
only. Any compensation and expenses incurred after the March 13, 1998
conference call have been divided equally between all three parties.
 




Therefore, based on the above information, and in accordance with the
Rules, parties are directed to make the following deposits:


    

   
  1.  Douglas A. Chaikin:     $1,258.84

    
   
  2.  Kevin Weinmann:         $1,351.97

    
   
  3.  Mark G. Foti            $  658.83




Enclosed are your revised respective AAA Invoice/Statements for easier
payment.




Please make your deposit no later than October 5, 1998.




This will also confirm advice that the above entitled matter has been
settled.




If you have not already done so, please confirm said settlement in
writing.  Unless the Association is advised to the contrary within 14
days from the date of this letter, it will consider this matter
formally withdrawn from arbitration and so mark its file.
