Dear Mr. Johnston:


This confirms understandings from the Contract Administration meeting on
December 30, 1996.  You met with Mr. Leonard SooHoo in our Resident Office and
submitted a proposed alternate design for subject work.  At the meeting,
discussions revealed the

need for further work
on this submittal to conform
with COE documentation standards and to make clear the methods you propose, as
set out in the

attached notes
beginning at line 061132.


Mr. Jim Galli agreed to make the changes set out in the notes and to resubmit
transmittal #64 on January 3, 1997, in order to facilitate discussions with
UPRR scheduled for January 15 at 1000, per

COE serial letter #0123 dated
December 23, 1996. Please be sure to address each of the points in the attached
notes.  By copy we are alerting UPRR of these events.  If you have any
questions, please call me to expedite this matter.
