Dear Rod,


Thanks for the quick response to our meeting last Friday. I will review your
proposal of $45K for the five month period with Denis and Robert Rudeen.  After
leaving it to you to propose the fee, my reaction is that the cost needs to be
closer to $25K, or $5K per month.




We need to more clearly define scope for documentation during the coming
months. As I indicated in our meeting, the completion of Moscone may be more of
a support role to Robert Rudeen for recording key meetings and maintenance of a
master action list, as opposed to full communication metrics documentation.




Please consider this counter offer and let me know if you feel we can balance
scope/effort with compensation.
